You represent and warrant that:

You have all rights necessary to submit your User Content and grant the above license, and
Your User Content does not violate any laws, third-party rights, or these Terms.

You are solely responsible for the accuracy, quality, and legality of your User Content.

8. AI-Generated Estimates and Disclaimers

Tree Bid Pro uses artificial intelligence and algorithms to generate estimate suggestions based on the data you provide and our internal models.

You acknowledge and agree that:

All estimates generated by the Service are recommendations and approximations, not guarantees.
You remain fully responsible for reviewing, adjusting, and deciding on final pricing and terms with your customers.
Factors outside of the data provided to the Service may affect the true cost and difficulty of any job.

Tree Bid Pro is a decision-support tool, not a substitute for your professional judgment, experience, and due diligence.

We make no guarantee that any estimate generated or suggested by the Service will result in a profitable job, accepted job, or any specific outcome.

9. Acceptable Use

You agree not to use the Service to:

Violate any applicable law or regulation
Infringe the rights of any third party
Upload or transmit malicious code, viruses, or other harmful software
Harass, abuse, or harm others
Attempt to gain unauthorized access to the Service or related systems

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TREE BID PRO, ITS OWNERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR:

ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR
ANY LOSS OF PROFITS, REVENUE, BUSINESS, OR DATA,

ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TREE BID PRO’S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO TREE BID PRO FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain exclusions or limitations of liability, so portions of this section may not apply to you.

17. Indemnification

You agree to indemnify, defend, and hold harmless Tree Bid Pro and its owners, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your User Content,
Your violation of these Terms, or
Your violation of any law or third-party right.

18. Governing Law and Dispute Resolution

These Terms will be governed by and construed in accordance with the laws of the State of Oklahoma, United States of America, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in or nearest to Stillwater, Oklahoma, and you consent to the personal jurisdiction of those courts.
