1. Acceptance of Terms

TreeBidPro is an AI-powered software-as-a-service (SaaS) platform designed to assist tree service professionals with creating estimates and bids. The Service includes features for calculating costs, managing client information, and generating proposals. The Service is provided on a subscription basis.

3. User Accounts

•Account Creation: To use the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

•Account Responsibility: You are responsible for safeguarding your account password and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.

•Account Security: We are not liable for any loss or damage arising from your failure to comply with the above requirements.

4. Subscriptions and Payment

•Subscription Plans: The Service is offered through various subscription plans, including a free trial and paid plans. Features and pricing for these plans are described on our website.

•Billing: By purchasing a subscription, you authorize us to charge your chosen payment method (“Payment Method”) on a recurring basis (e.g., monthly or annually) for the subscription fees, plus any applicable taxes.

•Free Trial: If you sign up for a free trial, you will have access to the Service for a specified period. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

•Cancellations: You may cancel your subscription at any time through your account settings. The cancellation will take effect at the end of the current billing period. Subscription fees are non-refundable.

•Price Changes: We reserve the right to change our subscription fees at any time. We will provide you with reasonable prior notice of any price changes.

•Your Content: You retain ownership of any data, information, or material you upload or enter into the Service (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display Your Content solely for the purpose of providing and improving the Service.

The Service may integrate with or contain links to third-party websites or services that are not owned or controlled by us, such as Google Analytics and GoHighLevel. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with the use of any such third-party services.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; NOR DO WE MAKE ANY WARRANTY AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE. THE OUTPUTS AND ESTIMATES GENERATED BY THE AI ARE FOR INFORMATIONAL PURPOSES ONLY AND SHOULD BE INDEPENDENTLY VERIFIED BY A QUALIFIED PROFESSIONAL.

9. Limitation of Liability

IN NO EVENT SHALL MASTERS TECHNOLOGY SERVICES LLC, ITS DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF YOUR USE OF THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the State of Oklahoma, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms shall be resolved through binding arbitration conducted in Oklahoma, rather than in court. You agree to waive your right to a jury trial.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
